This Document Disclaimer applies specifically to the bills of sale, receipts, and related documents (“Documents”) generated using the SquareDeal application (“SquareDeal,” “the App”), published by PrairieStone AppWorks (operating under 102236425 Saskatchewan Inc.). It should be read together with SquareDeal's Privacy Policy and Terms of Service, which govern your use of the App generally. Where this Disclaimer and the Terms of Service address the same subject, both apply; if they conflict, this Disclaimer controls for matters specific to the Documents themselves.
1. SquareDeal Is a Tool, Not a Party to Your Transaction
SquareDeal helps you create a record of a private-party sale between a buyer and a seller. PrairieStone AppWorks is not a party to that sale, does not broker, facilitate, guarantee, or insure the transaction, and has no involvement in the item being sold, its condition, its title, or the funds exchanged. Any dispute about the sale itself is between the buyer and the seller.
2. Signatures Captured in SquareDeal Are Not Notarized or Certified
Signatures collected through SquareDeal are drawn images, captured on a touchscreen using your finger or a stylus, directly within the app. They are:
- Not notarized by a notary public.
- Not witnessed by any third party through the app.
- Not verified against government identification.
- Not digitally certified through any signing authority, certificate, or cryptographic identity-verification service.
A signature captured this way is intended to record that a person indicated agreement to the Document at a particular time, timestamped by the app. SquareDeal does not verify the identity of the person who provided it. If a transaction requires a notarized, witnessed, or otherwise certified signature under your local law, SquareDeal does not provide that, and you should arrange it separately.
3. A SquareDeal Document Is Not a Substitute for Official Title Transfer
Vehicles, watercraft, trailers, and other registered property may require government forms, registrations, filings, inspections, or other steps to legally transfer title or register a change of ownership — separate from any private bill of sale. A Document generated in SquareDeal is a private record of the sale terms agreed between buyer and seller. It is not itself a government-issued title, registration, or transfer document, and does not, by itself, complete a legal transfer of title or registration.
You are responsible for finding out what your local licensing or registry authority (for example, a provincial vehicle registry, department of motor vehicles, or equivalent) requires to transfer title or registration where you live, and for completing those steps separately from anything generated by SquareDeal.
4. SquareDeal Does Not Verify Anything You or the Other Party Enter
All information in a Document — item description, condition, price, VIN or serial number, odometer or engine hours, names, addresses, and anything else — is entered by the buyer and/or seller. SquareDeal does not verify:
- That the seller actually owns or has the legal right to sell the item (see the Ownership/Authority-to-Sell section of the Terms of Service).
- That the item's condition, history, or described specifications are accurate.
- That any VIN, serial number, or identifying number entered is correct or matches the physical item.
- The identity of either party.
- That any payment was made, received, cleared, refunded, or otherwise completed.
Condition photos attached to a Document are provided by the user and are not reviewed, verified, or authenticated by PrairieStone AppWorks.
5. A SquareDeal Receipt Does Not Independently Prove Payment
A receipt generated using SquareDeal reflects information entered by the users. SquareDeal does not process, confirm, verify, or guarantee that any payment was made, received, cleared, refunded, or otherwise completed.
6. Not Legal Advice
Nothing in SquareDeal, including its templates, prompts, field labels, or generated Documents, constitutes legal advice. Requirements for private sales — what must be disclosed, what documentation is required, whether a bill of sale needs to be notarized or filed, and how a “gift” transaction is treated — vary by province, state, and item type, and can change. If you have questions about your specific transaction, especially for a high-value item like a vehicle or watercraft, consult your local licensing authority or a qualified legal professional rather than relying on SquareDeal or this Disclaimer.
7. Your Responsibility
By using SquareDeal to generate a Document, you agree that:
- You are responsible for the accuracy of everything you enter.
- You are responsible for determining what additional steps (title transfer, registration, disclosures, taxes) your transaction requires under your local law.
- You will not rely on a SquareDeal Document as a substitute for a notarized, witnessed, or government-issued document where one is legally required.
- You have permission to enter, photograph, sign for, or otherwise provide information relating to another person named in the Document.
8. Limitation of Liability
To the fullest extent permitted by law, and subject to the Limitation of Liability and Indemnification sections of the Terms of Service, PrairieStone AppWorks is not liable for any loss, dispute, financial harm, or legal consequence arising from your reliance on a Document generated using SquareDeal, including but not limited to disputes over the item's condition, title, ownership, or the validity of a signature captured in the App.
